Because the timing and impact of disasters and disruptions are unpredictable, we will need to remain flexible in responding to actual events as they occur. This statement summarizes our plan, as required by FINRA Rule 4370.

Our Business Continuity Plan
Our plan is designed to allow us to recover and resume business operations as quickly as possible after a significant business disruption by safeguarding our employees and property, making a financial and operational assessment, protecting our books and records and allowing our clients to continue to transact business.
Our plan addresses: data backup and recovery; mission-critical systems; financial and operational assessments; alternative communications with clients, employees and regulators; alternate locations for employees; the impact on critical suppliers, contractors, banks and counterparties; regulatory reporting; and communicating with clients so they know whom to contact for their funds and securities, which are held by third parties.
Client Funds and Securities
Zenith does not hold or have custody of client funds or securities. Investor funds in offerings we participate in are held by the issuer, an escrow agent or another third-party custodian, and investors should contact that party directly for access to their funds or securities.
Varying Disruptions
Significant business disruptions can vary in scope, affecting only our firm, a single building, our business district, the city of Norwalk or the wider region, and can vary in severity from minimal to severe. In a disruption affecting only our firm or our building, we expect to move operations to an alternate location or to remote operation and resume business as soon as possible. In a disruption affecting our business district, city or region, we will operate from one or more sites outside the affected area and resume business as soon as possible. Our personnel are able to work remotely. In either case, we plan to continue in business and will notify clients through our website and by email or telephone. If a disruption is so severe that it prevents us from remaining in business, we will notify clients and direct them to the issuer, escrow agent or custodian holding their funds or securities.
Updates and Additional Information
Our plan is reviewed at least annually and may be updated. A current copy of this statement is posted on our website and is available by mail upon request.
